This agreement governs your use of Paysavo’s multi-currency wallet, payments, cards, merchant services, and crypto features. It includes country‑specific annexes and may be updated from time to time.
2 Eligibility, verification & account security
  • Age of majority and capacity required; business users must be duly organized and authorized.
  • We conduct KYC/KYB, sanctions screening, and ongoing monitoring; provide requested information promptly.
  • Keep info current; use strong passwords and MFA; you are responsible for activity unless caused by our breach or gross negligence.
3 Modules & product‑specific terms

Mobile Top‑Ups & Gift CardsDigital/content goods are typically non‑refundable once delivered; verify recipient details and denomination.
Supplier Pay (B2B)Invoicing data must be accurate; we may require proof of goods/services; high‑value payouts may require documents.
Merchant Services (Checkout/Acquiring)Chargeback rules and scheme thresholds apply; reserves or delayed settlement may be required; PCI compliance required where applicable.
Cards (Virtual/Physical)Issued with licensed partners; network rules apply; freeze lost/stolen cards; dispute within time limits. Issued in partnership with Bridge and the issuing bank (to be specified in Cardholder Terms).
Crypto (Custodial & Non‑custodial)Supported assets only; irreversible transfers; tags/memos where required; no deposit insurance; delistings possible with notice where practicable.
Stablecoin On/Off‑RampSubject to partner/chain/network availability and compliance checks; large transactions may require enhanced due diligence.
API & WebhooksKeep keys secure; rotate regularly; verify webhook signatures; respect rate limits; sandbox ≠ production.
Agent NetworkCash handling, logs, reconciliations, float/limits; audits and compliance standards apply.
Admin & BackofficeActions are attributable to your organization; role‑based access; audit logs may be reviewed for investigations.
Compliance (KYC/AML/Sanctions)Provide requested documents; we may suspend services to meet legal/partner requirements; suspicious activity may be reported.
Fraud & Risk ScoringWe may hold, delay, or reverse transactions; reserves or additional verification may be required.
Reporting & ReconciliationKeep accurate records; respond to information requests within two business days.
Communications & NoticesWe send electronic communications; marketing can be opted out; transactional notices remain.
Data & SecurityProtect credentials/devices; follow secure coding and least‑privilege access; notify of incidents without undue delay.

4 Fees, FX, limits & taxes

Fees may apply to funding, withdrawals, conversions, network usage, chargebacks and other services. Fees are displayed prior to confirmation and may change with notice. FX rates include spread.

Limits vary by user, region, method, verification level, and risk profile. You are responsible for taxes arising from your use of the services.

5 Funding, transfers & withdrawals
  • Funding sources include bank transfers (EFT/ACH/wire), Interac e‑Transfer® (including Autodeposit where available), card top‑ups, mobile money, and crypto deposits where permitted.
  • Processing times depend on networks, partner banks, or blockchain conditions; we may delay/reverse to prevent fraud or meet legal obligations.
  • Reversals & negative balances: we may reverse/recall funds for invalid/unauthorized payments; you must repay negative balances.
6 Cards (virtual & physical)

Cards are issued by licensed partners and subject to separate Cardholder Terms and network rules. Freeze lost/stolen cards immediately and contact support; dispute card transactions within required periods.

Issuing partner: Cards are issued in partnership with Bridge; the issuing bank will be identified in the Cardholder Terms and applicable disclosures.

7 Crypto services

Availability & eligibility

Crypto services are not available in all jurisdictions and may be limited by law or partner policy. We may restrict tokens, features, or limits at our discretion.

Custodial vs non‑custodial

  • Custodial: Assets may be held with sub‑custodians; title remains with you except to settle transactions/fees.
  • Non‑custodial: You control keys; lost keys may mean permanent loss.

Order handling & pricing

  • Market/limit/stop orders and recurring purchases may be supported; partial fills possible; good‑til‑cancelled unless specified.
  • Quotes are indicative until executed; executed prices may include spreads; execution depends on liquidity.

Transfers

  • Send only supported assets/networks; wrong chain or missing memo/tag (e.g., XRP/XLM) can permanently destroy funds.
  • We may require address whitelisting and additional checks for large/high‑risk transfers.

Unsupported assets & delistings

No obligation to support forks, airdrops, or unsolicited tokens. We may suspend/remove assets or networks with notice where practicable.

No deposit insurance

Crypto is not legal tender and is not insured by CDIC/FDIC or similar schemes.

8 Merchant, API & agent modules

Onboarding & obligations

  • Accurate onboarding info (UBOs, directors, site, refund policy, volumes); update material changes within 10 days.
  • Comply with scheme rules, AML/CTF, privacy, surcharging, and consumer laws in each market.

Chargebacks & ratios

  • Respond to evidence requests on time; excessive dispute ratios (e.g., >1% or partner thresholds) may trigger fines, reserves, or suspension.
  • Authorize us to debit your balance/linked account for chargebacks, retrievals, and fees.

Settlement, reserves & reconciliation

  • Reserves (rolling/upfront), delayed settlements, or collateral may apply based on risk and partner requirements.
  • Provide reconciliation files on request; keep accurate refund/cancellation records.

PCI‑DSS & data security

If you handle cardholder data, maintain PCI‑DSS compliance and annual attestations; never store PAN/CVV/track data.

API terms

  • Protect API keys; rotate; verify webhook signatures; respect rate limits; sandbox credentials not for production.
  • We may throttle or suspend APIs for abuse or security issues.

Audit & agents

We may audit with reasonable notice; failure to cooperate may lead to suspension. Agents must follow cash‑handling, KYC, logging, and reconciliation rules; we may set float and limits.

9 Errors, chargebacks, disputes & complaints

Report errors/unauthorized activity immediately; we investigate and correct confirmed errors. Card/bank chargeback/return rules apply; we may debit your balance/linked account. We offer dispute facilitation on eligible purchases; decisions are discretionary.

10 Risk disclosures & important notices
  • We may suspend or limit services for maintenance, security, or legal reasons.
  • Third‑party risks include banks, networks, exchanges, custodians, and blockchains.
  • Safeguarding (where required) is not deposit insurance.
  • Sanctions/export: you will not use services in sanctioned countries or for prohibited uses.
  • Unclaimed property laws may apply to dormant funds.
11 Suspicious activity, holds, reserves & termination
  • We may hold funds, restrict features, freeze, or terminate with or without notice for suspected fraud, policy violations, or legal risk.
  • We may establish/increase reserves, delayed settlements, or collateral; we may set off amounts you owe against balances or receivables we hold, to the extent permitted by law.
12 Privacy, data & communications

Our Privacy Policy explains how we collect, use, and share data. By using the services, you consent to electronic communications and statements. You can opt out of marketing; transactional notices remain.

Sub‑processors & providers: We maintain a living list of core providers at /legal/providers, which we may update without amending these Terms.

13 Intellectual property

We own or license the Paysavo brand, software, site content, designs, and technology. You may not copy, modify, reverse engineer, or create derivative works except as permitted by law or with our written consent.

14 Liability limits & indemnity

Disclaimer: Services are provided “as is” and “as available,” to the fullest extent permitted by law.

Limitation: To the extent permitted by law, our aggregate liability will not exceed fees you paid to us in the three (3) months before the claim. No indirect, incidental, special, punitive, or consequential damages.

Indemnity: You agree to indemnify Paysavo for losses arising from your breach of these Terms, violation of law, or third‑party rights.

15 Dispute resolution & governing law

Dispute resolution, governing law, and venue vary by jurisdiction—see Annexes. Arbitration and class‑action waiver may apply where permitted.

16 Changes to these Terms

We may update these Terms by posting a revised version and, where required, by email or in‑app notice. Continued use after notice means you accept the updated Terms.

Notice periods: We provide at least 30 days’ notice for material amendments and at least 60 days’ notice for pricing changes unless law allows a shorter period.

Annex CA — Canada‑Specific Terms

Governing law & venue: Saskatchewan, Canada; federal laws of Canada apply.

Dispute resolution: ADRIC arbitration where permitted; otherwise small‑claims/competent courts. English governs; French available; English controls where permitted by law.

Interac e‑Transfer®: Autodeposit may be available; bank/partner availability applies.

Safeguarding & insurance: Safeguarding is not CDIC insurance. Crypto assets are not insured.

Annex US — United States‑Specific Terms

Governing law & venue: Wyoming (Sheridan County courts), subject to arbitration.

Arbitration & class‑action waiver: AAA rules; class‑action waiver where permitted. E‑SIGN consent applies.

Reg E: Error‑resolution protections for eligible consumer EFTs; report unauthorized EFTs promptly.

Licensing & partners: Money transmission/card services may be provided by licensed partners; state disclosures provided where required.

Annex EU — European Union‑Specific Terms

Governing law & venue: Member State of residence; statutory rights preserved.

PSD2 & SCA: SCA may be required; SEPA where supported.

GDPR: Lawful bases; data subject rights; cross‑border transfers with safeguards.

Complaints: Escalation to competent authority; ODR may be available.

Miscellaneous

  • Third‑Party Service Providers: We may add/replace providers at any time to meet legal, security, or operational needs. Current disclosures: /legal/providers.
  • Assignment/Subcontracting: You may not assign without our consent. We may assign or subcontract and remain responsible.
  • Severability/Waiver: If a provision is unenforceable, the remainder remains effective; no waiver without written consent.
  • Entire Agreement: These Terms plus referenced policies constitute the entire agreement.
  • Force Majeure: We are not responsible for failures beyond our control (e.g., network outages, exchange/custodian failures, blockchain issues, disasters, war, government acts).
  • Limitation period: Claims must be brought within one (1) year where permitted by law.
